Chapter Presidents' Minutes - May 16,2007

COMMERCIAL FINANCE ASSOCIATION
 Chapter Presidents

May 16, 2007 Teleconference Meeting
MINUTES

Present:

Neil Kelly, National City Business Credit, Inc., Ohio Chapter president

Ed McGugan, CIT Healthcare, Philadelphia Chapter president

Richard Lewis, Wells Fargo Business Credit-Factoring, Government Services Group, Baltimore-Washington Chapter vice president
Jason Mills, PNC Business Credit, Carolinas Chapter president
April Prichard, GMAC Health Capital, Southwest Chapter vice president
Todd Runge, UPS Capital Corp., Atlanta Chapter president
Matthew Stanley, Bridge Finance Group, Midwest Chapter president

Also present:

Jennifer Sappell, Chapter/Membership Director, CFA

In the course of attendee introductions, another new president was welcomed: Jason Mills who was previously vice president of the Carolinas Chapter is now president. Jason has also been nominated for 2007-2008 presidency. Elections are slated for June 21, with CFA president Ted Kompa in attendance. At our last meeting, Todd Runge was welcomed as the new Atlanta Chapter president.

Administrative reminders:

  • Evidence of insurance is still needed from several Chapters for both G/L and D&O policies.
  • IRS returns were due May 15, 2007 unless extended. Please forward copies of returns or extensions to Jennifer.
  • Chapters have been requested to provide rosters of paid members for complimentary Secured Lender subscriptions. Please include phone numbers and email addresses for our database purposes.
  • Chapters with mid-year elections need to request nominations now
  • Several chapters have not yet reported a scheduled holiday event, and were reminded to be mindful of conflicts with other Chapters and other association’s events.
  • Secured Lender: Chapter Roundtable responses and Chapter News content is due 5/17. Next deadline (for the Sept/Oct issue) is July 17.

Attendees were directed to the new Chapter Leaders’ Blog for a copy of this meeting’s agenda and the minutes of the March 7, 2007 Presidents’ Meeting: http://www.cfachapters.com/ All Chapter leaders are encouraged to refer to the site, as well as post to the site. It is intended to be a resource for information and commentary. Registration as a user is quick, easy and self-explanatory.

The CFA Education Director, Michael Keller, is currently soliciting requests from Chapter leaders for “blue sky” projects. The Education Foundation is considering significant financial support to benefit the Chapter network. Two ideas from attendees for development projects were discussed:

  1. Professional photographers at some Chapter events for Secured Lender and other promotional purposes
  2. Paid administrative support (database management, flyer design, event planning)

Additional ideas are welcome, especially those consistent with the Foundation’s educational mission. Please contact Michael Keller.

Representatives of two Chapters discussed the possibility of CFA assistance in job searches and/or job postings. CFA policy as a trade association is that CFA represents the interests of businesses, and it is not in the businesses’ interest to facilitate movement between members. Following discussion, the matter was referred to the Chapter Focus Committee. It was observed that the issue may be redirected toward the parent association.

Changes to the CFA Annual Convention format related to all Chapter officers have been implemented.  All Chapter officers and guests will be invited to the Board of Directors reception and dinner on (Nov. 6, 2007) the night preceding the opening of the Convention (Nov. 7, 2007). There will be recognition of Chapter presidents during the evening. On the next day, the first day of the Convention, there will also be a Chapter Presidents’ Breakfast prior to the organizational meetings to which officers are welcome. These changes have been made so that Chapter officers’ attendance opportunities are more compressed, and to encourage greater participation. The changes are articulated now so that plans may be made for arrival before opening day.

There was a discussion of event practices related to food, drinks and speaker timing. While there seems to be nothing that is “right” for each Chapter, there was consensus that drink-time prior to speakers should be minimal (if at all) and that Chapter leadership should be assertive in promoting courtesy toward speakers.

Next meeting:

Wednesday, July 18, 2007, Noon (EDT). Please note the variation in scheduled meeting time.

Chapter Presidents March 7, 2007 MINUTES

     COMMERCIAL FINANCE ASSOCIATION

Chapter Presidents
March 7, 2007 Teleconference Meeting

MINUTES

Present:

Gail Bernstein, California (CFCC) President

George Grieco, New York Chapter president

Steve Macko, Northern California Chapter president
Glenn Noble, Baltimore-Washington Chapter president

Todd Runge, Atlanta Chapter president

Scott Ryan, New England Chapter president

Harold Shapiro, Canada Chapter president

Matthew Stanley, Midwest Chapter president

Melody Vollman, Mid South Chapter president

Jason Mills, Carolinas Chapter vice president

Gail Waxman, Southwest Chapter president

Also present:
Jennifer Sappell, Chapter/Membership Director, CFA
The meeting began with the introduction of all attendees, including the new Atlanta Chapter president, Todd Runge.

Membership rules were reviewed for the CFA parent association, and there was clarification of Chapter requirements:

  1. Membership in the CFA parent association is for businesses with capital at risk.
  2. Participation in Chapter programs and events is for employees of CFA parent association members and service providers.
  3. Non-members of CFA who are eligible for membership are prohibited from participation except when cosponsored, open events are offered.
  4. It is not required that employees of member companies join Chapters to participate. Employees are permitted to participate as Chapter non-members and pay non-member rates.
  5. Chapters may choose to honor other Chapters membership status at their discretion.

It was agreed that the common challenge was attendance rather than membership. NJ is offering a free annual membership to previous non-members who register for a particular event to drive up both attendance and membership. Panels of sponsors, joint events with TMA, ACG, AIRA, etc. and recognized speakers all contribute to well-attended events. There was a noted trend toward joint events in general, and a willingness for participants to travel to combined, larger events. Cosponsored events drive attendance, and eventually, membership. There was little interest expressed in “prepackaged” programs offered as a suggestion by the Chapter Focus Committee. Most appealing were speaker programs with a humorous component. Entertaining economists, public speaking and presentation experts were also popular. Recommendations and references must be solicited prior to any engagement to ensure success. Bank economists will often speak at no charge, but are usually not entertaining.

Chapter leaders were reminded that they are requested to host a minimum of four meetings each year, at least two of which have an educational component. Elections are for members only, and may precede an open meeting (such as a holiday event).

The Chapter Leaders’ Blog was announced. There is a link for Leaders only on the CFA home page. Roll over the “Chapters” button, and click on the drop-down “Leaders’ Blog.” You will be asked to choose a user’s name and password. Content suggestions are welcome, and online discussion is very strongly encouraged.

Secured Lender Roundtable submissions were solicited. Officer photos, names, and employer information are published with the officer’s response to a Chapter-relevant topic in each edition. Suggested questions are welcome. Both Roundtable and Chapter News submissions are due 3/20. Photos are due 3/22.

IRS returns are due 5/15, 2007 unless extended.

Establishment of Chapter post office boxes was encouraged for continuity of mail, especially important insurance correspondence that could be lost due to changing treasurers.

The publication of 2006 officer profiles has been produced as a free standing booklet to recognize all officers. This excerpt of a recent Secured Lender issue was offered to all Chapters in quantity. Chapters are offered copies in quantity for their distribution.  Topics for consideration by the Chapter Focus Committee were requested, and are always welcome. The Committee will specifically address any concern suggested by any Chapter officer, at any time. Chapter Presidents now receive copies of minutes of Chapter Focus Committee’s meetings.Next meeting is Wednesday, July 18, 2007 at noon EDT. Please note that meeting times will continue to alternate between noon and 3 pm to accommodate a maximum number of participants.

2007 Insurance renewal notes

A number of questions related to Chapter insurance were raised in early 2007, and I would like to be helpful in sorting through some of the obscure details. Please note that the information I have garnered relates to the ASAE endorsed coverage provided by the broker AON Association Services, Inc. (a division of Affinity Insurance Services, Inc) based in Washington, DC. Most, but not all, Chapters currently use AON policies underwritten by The Hartford. If you use Aon policies, I encourage you to share my information with your Board of Directors. If you do not use Aon, you may still find some of this information relevant.

According to Wendy Ann Henry at Aon (202-862-5349):

·        During 2006, The Hartford reported that they were discontinuing 40% of their policies to not-for-profits in 2007.

·        None of the CFA Chapters were non-renewed in 2007, so no Chapters are required to move to another carrier.

·        Aon, however, sought another underwriter as an alternative now and for 2008, when non-renewal by The Hartford could occur.

·        The fax you may have received presented you with a Great American policy as an alternative to The Hartford, which you need not replace.

·        There was a page included with a box titled “Reason for Cancellation” with an “X” next to “coverage replaced.” That is for you to supply ONLY IF YOU WISH TO CHANGE YOUR POLICY.

·        Currently most Chapters pay $350 for a General Liability policy underwritten by The Hartford, which includes NO property coverage.

·        Great American’s policy is $519 and does provide some property coverage, most notably $10,000 in laptop coverage.

·        Both policies provide for “Hired and Non-Owned Automobiles.”

·        Both policies provide for “Host Liquor Liability”

·        There is no benefit to G/L and D&O coverage being underwritten by the same carrier.

·        There is no advantage to purchase of riders for liquor liability when independent legal businesses are contracted to provide beverages.

·        Chapters should never directly serve or provide liquor. Always contract with an independent provider.

·        You may have received a “Policyholder Notice” with Section “B” marked “Reduction in Coverage” and “See reverse side.” Ms. Henry has provided the disclosure related to that “Reduction.” She has also explained that the reductions do not apply to current G/L policies, because they all pertain to property coverage to which no Chapter subscribes. The “Policyholder Notice” was a computer generated form letter.

·        If you have any questions at all, please contact Aon directly, or contact me so that I may do so for you. Please keep me informed of any changes, and especially of any information relevant to the decisions facing other Chapters as they select their insurance packages.
